1.Introduction; Acceptance; Eligibility#
1.1These Terms of Service (this "Agreement") govern all access to and use of sanawell.co and related websites, applications, and services (collectively, the "Platform"). The Platform is operated by Sonalabs LLC, a limited liability company organized under the laws of the State of Wyoming, United States ("Sanawell", "we", "us"). By registering for, accessing, or using the Platform, you unconditionally accept and agree to all of the terms of this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity, and "you" refers to that entity.
1.2You must be at least eighteen (18) years of age to create an account, submit a Booking Request, or submit any content to the Platform. Wellness Services listed on the Platform may themselves be open to minors, but the Platform account holder must be an adult.
1.3Sanawell reserves the right to change or modify portions of this Agreement at any time. If we do so, we will post the revised Agreement on this page and update the effective date above. Where we consider a change material, we will also provide notice through the Platform interface, by email, or by other reasonable means. Changes take effect when posted, or on any later date stated in the revised Agreement. Your continued use of the Platform after a change takes effect constitutes acceptance of the revised Agreement.
2.Definitions#
2.1"Member" means any individual with a registered Platform account.
2.2"Teacher" means an independent instructor or facilitator with a teacher profile on the Platform.
2.3"Business" means a studio, venue, retreat operator, or other wellness business with a business account on the Platform; a Business may operate one or more "Centers" (also referred to as "Places").
2.4"Host" means the Teacher or Business responsible for a given Listing or Wellness Service.
2.5"Editor" means a Member granted delegated access by a Business to manage one or more of its Centers.
2.6"Wellness Service" means any class, session, event, retreat, teacher training, or related service offered by a Host.
2.7"Listing" means any page or entry on the Platform describing a Host, Center, or Wellness Service, including drafts and unpublished versions.
2.8"Booking Request" means an enquiry submitted through the Platform expressing interest in a Wellness Service, transmitted to the applicable Host as a lead.
2.9"Booking Link" means a link provided by a Host that directs users to the Host's own booking, reservation, or payment channel.
2.10"Booking Terms" means the terms set out in Section 11.4, accepted at the point a Booking Link is revealed or a Booking Request is submitted.
3.Nature of the Platform; Role of Sanawell#
3.1The Platform is a wellness directory and referral service. Sanawell presents Hosts' offerings, transmits Booking Requests to Hosts as leads, and surfaces Host-provided Booking Links. Sanawell acts solely as a pass-through presenting Hosts' offerings to prospective customers.
3.2Sanawell processes no payments. The Platform contains no payment, checkout, or refund functionality. All payments for Wellness Services are made directly between you and the Host, through the Host's own systems, entirely outside the Platform. Each Host is the sole merchant of record and seller for its Wellness Services. Sanawell is not a party to any transaction between a user and a Host and does not hold funds on behalf of any party.
3.3Booking Requests are leads, not reservations. A Booking Request does not reserve a place, guarantee availability, or create a booking. Status indicators shown on the Platform (such as "pending", "link shared", "confirmed", "declined", or "cancelled") reflect coordination between you and the Host; a "confirmed" status is the Host's assertion, not a guarantee by Sanawell. Any issue relating to a booking, payment, pricing, availability, cancellation, refund, or the delivery or quality of a Wellness Service must be addressed directly with the applicable Host, and Sanawell has no obligation to mediate, resolve, or compensate for any such issue.
3.4Sanawell does not itself provide, own, control, supervise, or deliver any Wellness Service; does not vet any Host's competence, insurance, or premises; and makes no representation or warranty regarding any Host's identity, qualifications, certifications, or the quality, safety, legality, or suitability of any Wellness Service. Users are solely responsible for evaluating Hosts and Wellness Services.
4.Accounts; Sign-In; Security#
4.1Certain Platform features require a Member account. You agree to provide accurate, current, and complete information and to keep it updated. Registration requires email verification before sign-in is permitted.
4.2Google sign-in and account linking. You may sign in with Google. If you sign in with Google using an email address that already belongs to an existing Platform account, the sign-ins are linked to the same account on the basis of the verified email address.
4.3You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account, with or without your knowledge or consent, including activity by Editors you appoint (Section 7). You must notify us promptly of any suspected unauthorized use.
4.4Sanawell may suspend or terminate any account, or restrict access to any feature, in its reasonable discretion where it has a good-faith belief that use of the Platform violates this Agreement or places Sanawell, other users, or third parties at risk of harm, loss, or liability. Section 16 describes removal and appeals.
5.Listings; Drafts; Publication#
5.1Hosts are solely responsible for the accuracy and completeness of their Listings — including descriptions, schedules, pricing, currency, location and address details, contact information, and Booking Links — and for keeping them current. Booking Links must direct users to the Host's own legitimate booking channel and must reflect accurate pricing and availability.
5.2Listings are subject to review and completeness requirements before publication, and Sanawell may approve, reject, request changes to, unpublish, or remove any Listing at its discretion.
5.3Drafts and version history. The Platform automatically saves Listing content as you edit it. Draft content and a limited version history of Listings are stored on the Platform even before publication. Section 9 (content license) applies to drafts as well as published content, and the Privacy Policy describes how draft content and uploaded media are stored.
5.4Profile tiers. Listings may display a tier such as "standard", "claimed", or "verified". These tiers reflect the status of the Listing on the Platform (for example, whether ownership has been claimed or verified through Section 6) and control which contact details are displayed. A "verified" or "claimed" tier is not an endorsement, accreditation, or warranty of any Host, and Sanawell does not certify the accuracy of any Listing at any tier.
6.Place Claims#
6.1A Member may claim an existing Listing by submitting a claim identifying their role (owner, manager, or authorized representative) and verification details. By submitting a claim, the claimant represents and warrants that they are authorized to act for the business concerned and that all information submitted is accurate.
6.2Claims are reviewed by Sanawell and may be approved or rejected at Sanawell's discretion. Approval transfers management of the Listing, including its inbound Booking Requests and review moderation, to the claimant.
6.3Sanawell may reverse or re-assign a claim, or suspend a claimed Listing, where it has a good-faith belief that a claim was obtained through misrepresentation, or where competing claims arise. Competing claimants may be asked to provide further verification, and Sanawell's determination is final as between Platform access rights, without prejudice to the parties' legal rights against each other.
7.Delegated Editor Access#
7.1A Business may grant Editors access to manage its Centers. The Business is responsible for the acts and omissions of every Editor it appoints as if they were its own, and Sanawell is entitled to act on the instructions of any current Editor with respect to the relevant Center.
7.2The Business is responsible for removing Editors whose access should end. Editors must be at least eighteen (18) and hold their own Member accounts.
8.Teacher Invitations; Rosters#
8.1A Business may invite a Teacher to its roster, or assign a class to a Teacher, including by entering the Teacher's email address. By entering another person's email address, the Business represents and warrants that it has a lawful basis and any necessary permission to share that address with Sanawell for the purpose of sending the invitation or notification.
8.2Invitation emails sent by the Platform on a Business's behalf identify the inviting Business. A Teacher may accept or decline an invitation; roster associations require the approval of both parties and may be withdrawn.
8.3A Teacher may request association with a Business; the association becomes active only if the Business approves it.
9.User Content; License; IP Warranties#
9.1"User Content" means all content submitted to the Platform by users, including Listing text, business and contact details, teacher bios and certifications, class and event details, schedules and pricing, photographs and galleries, reviews, and Booking Request messages — whether published or in draft.
9.2License. You retain ownership of your User Content. You grant Sanawell a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, adapt, resize, crop, and distribute your User Content on the Platform and in Sanawell's marketing and promotional materials, and to generate derivative images from it — including thumbnails, cards, hero images, social-sharing (Open Graph) images, and shareable schedule images — during the Term and for a reasonable period thereafter for archival, promotional wind-down, and legal compliance purposes.
9.3Photography and IP warranties. You represent and warrant that you own or are licensed to use all User Content you submit, including all photographs; that you have obtained any releases required from identifiable individuals appearing in them; that you are authorized to publish any business name, address, and contact details you submit; and that your User Content does not infringe or misappropriate any third-party rights. Photography rights are the most common source of directory disputes; do not upload images you do not have rights to.
9.4Publicity. Sanawell may factually identify a Host by name and logo as a Platform participant on its website and in communications with existing or prospective users and partners. A Host may decline this use at any time by written notice to hello@sanawell.co.
9.5If you provide suggestions, ideas, or other feedback regarding the Platform, Sanawell will have a full, free, perpetual, and unencumbered right to use and exploit such feedback in connection with its business.
10.Reviews#
10.1Signed-in Members may submit one review per Listing (rating, optional title, and text). Reviews are opinions of their authors; Sanawell does not verify attendance and does not warrant the accuracy of any review.
10.2Public attribution. Approved reviews are displayed publicly together with the reviewer's account display name. By submitting a review you consent to this display.
10.3Moderation. Reviews are held as pending until approved. Moderation may be performed by Sanawell and by the reviewed Host (the business or teacher the review concerns). A Host may approve or reject reviews of its own Listings; a rejection reason may be shown to the reviewer. You may not review your own Listing or a Listing you can moderate.
10.4Fake, incentivized, retaliatory, or manipulated reviews are prohibited, as is any attempt by a Host to suppress honest reviews through off-platform pressure. Sanawell may remove any review, and may revoke a Host's moderation privileges, at its discretion.
10.5A reviewer whose review is rejected, or a Host who believes a review violates this Agreement, may contact hello@sanawell.co; Section 16.3 (appeals) applies.
11.Booking Requests; Third-Party Booking; Booking Terms#
11.1Where a Listing carries a Booking Link, you may access it after accepting the Booking Terms. Where it does not, you may submit a Booking Request, which is transmitted to the Host as a lead together with your name, email address, phone number, requested session details, participant count, and any message you include.
11.2Disclosure to the Host. By submitting a Booking Request or accepting a Booking Link, you consent to Sanawell sharing the details in Section 11.1 with the applicable Host so the Host can respond to you. The Host's use of your details is governed by the Host's own privacy practices, as described in the Privacy Policy.
11.3Any transaction you complete with a Host — through a Booking Link or otherwise — including all bookings, payments, cancellations, and refunds, is made directly with the Host, on the Host's terms. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SANAWELL SHALL HAVE NO LIABILITY FOR ANY BOOKING, TRANSACTION, PAYMENT, CANCELLATION, REFUND, OR DISPUTE BETWEEN YOU AND ANY HOST.
11.4Booking Terms. The terms you accept when submitting a Booking Request or revealing a Booking Link are: (a) Sanawell is a directory and processes no payments; (b) your request is an enquiry, not a confirmed reservation; (c) your name, email address, phone number, and message will be shared with the Host; (d) all bookings, payments, cancellations, and refunds are handled by the Host on the Host's own terms; and (e) participation in Wellness Services is at your own risk as described in Section 17.
12.Imported and Third-Party-Sourced Data#
12.1Certain Listings or schedules are compiled from publicly available sources, or imported with a Host's authorization from the Host's own scheduling systems (including Momence). Imported data — including schedules, session details, images, and instructor names — is the responsibility of the Host that operates the source system; Sanawell is not the origin of that data and does not warrant its accuracy.
12.2A business appearing in a directory Listing compiled from public sources may claim the Listing, request corrections, or request removal by contacting hello@sanawell.co. An individual named in imported schedule data (for example, an instructor) may request correction or removal in the same way.
13.Acceptable Use; Messaging; Prohibited Conduct#
13.1You will not, directly or indirectly: (a) use the Platform for any unlawful, fraudulent, or deceptive purpose; (b) scrape, crawl, harvest, or bulk-extract data from the Platform, or use any automated means to access the Platform, without Sanawell's prior written consent; (c) reverse engineer, decompile, or otherwise attempt to derive the source code or underlying structure of the Platform; (d) submit false Booking Requests, spam Hosts, or otherwise misuse enquiry features; (e) submit fake or manipulated reviews, or solicit or incentivize reviews contrary to Section 10.4; (f) claim a Listing you are not authorized to represent; (g) enter another person's email address without a lawful basis (Section 8.1); (h) impersonate any person or entity or misrepresent your affiliation; (i) upload content you lack rights to, or content that is false, misleading, defamatory, infringing, or otherwise unlawful; (j) circumvent security measures, review status, or access controls; (k) interfere with or disrupt the integrity or performance of the Platform; or (l) use the Platform to develop a competing product or service.
13.2Communications Features; permitted purpose. The Platform provides in-app messaging, which allows a Member to open a conversation with a Business in respect of one of its Centers, or with a Teacher, together with Booking Requests, enquiry and contact forms, reviews, and Listing and profile fields (together, the "Communications Features"). The Communications Features are provided for the sole purpose of discovering, arranging, coordinating, and discussing Wellness Services presented on the Platform. They are not a general-purpose messaging service, a classified-advertising channel, a payment channel, or a marketplace, and you will not use them to advertise, broker, solicit, negotiate, or transact anything outside that purpose.
13.3Zero-tolerance prohibited activities. Sanawell operates a policy of zero tolerance in respect of the activities described in this Section 13.3. You will not use the Platform — including any Listing, profile, review, Booking Request, uploaded media, or Communications Feature — to offer, solicit, sell, purchase, advertise, promote, arrange, facilitate, instruct in, or discuss:
(a) the supply, sale, purchase, distribution, or use of controlled substances, narcotics, or illegal drugs, or of any precursor, paraphernalia, or means of obtaining them;
(b) prostitution, escort services, "sensual", "tantric", or comparable services offered as a pretext for sexual services, or any sexual act or sexual contact offered, solicited, or provided in exchange for money or other consideration;
(c) human trafficking, forced labor, or the sexual exploitation or abuse of any person, and any sexual content involving a minor;
(d) the unlawful supply of weapons, explosives, stolen goods, counterfeit goods, or other regulated or prohibited items;
(e) money laundering, fraud, or the evasion of tax, sanctions, or currency controls; or
(f) any other act that is criminal or otherwise unlawful under the laws applicable to you, to Sanawell, or to the jurisdiction in which the Wellness Service is or would be delivered.
The prohibition in this Section 13.3 applies regardless of whether the activity is or would be performed on or off the Platform, whether any payment is involved, and whether the exchange is framed as an offer, a request, a referral, a joke, or a hypothetical.
13.4Abuse of the Platform and of other users. You will not use the Platform or any Communications Feature to: (a) harass, threaten, intimidate, stalk, bully, defame, or abuse any person; (b) send spam, bulk, chain, or unsolicited commercial messages, or repeatedly contact a Host or Member who has asked you to stop; (c) publish hateful content or content inciting violence against any person or group, including by reference to a protected characteristic; (d) transmit malware, phishing links, or fraudulent payment instructions; (e) collect, store, or publish another user's personal data other than as necessary to arrange a Wellness Service; or (f) direct users off the Platform for the purpose of evading this Agreement or Sanawell's moderation.
13.5Enforcement; permanent termination. A breach of Section 13.3 is a material and non-curable breach of this Agreement. Notwithstanding the notice practice in Section 16.1, on forming a good-faith belief that you have breached Section 13.3 Sanawell may, immediately and without prior notice, remove the content concerned, and suspend or permanently terminate your account and every other account Sanawell reasonably believes to be under your control or operated on your behalf. Permanent termination under this Section 13.5 is final, applies to any future account you attempt to open, and carries no entitlement to reinstatement, to restoration of content, or to compensation of any kind. Sanawell may apply the same measures to a breach of Section 13.4 where it considers the breach sufficiently serious or repeated. The appeal route in Section 16.3 remains available, but Sanawell is under no obligation to reverse a termination made under this Section 13.5.
13.6Preservation, disclosure, and reporting. Sanawell may preserve, review, and disclose Listings, User Content, account records, and the contents and metadata of Communications Features where it has a good-faith belief that doing so is necessary to investigate a suspected breach of this Section 13, to comply with applicable law or valid legal process, or to protect the rights, property, or safety of any person. Where Sanawell believes conduct on the Platform involves a serious criminal offence — in particular any activity described in Sections 13.3(a) to 13.3(d) — it may report that conduct, together with the associated account and content records, to the competent law-enforcement or regulatory authority, without notice to you.
13.7Reporting a breach. If you encounter content or conduct that breaches this Section 13, report it to hello@sanawell.co. Sanawell will review reports in good faith and, where a report concerns a risk of harm to a person, will prioritize its review.
14.Advertising and Featured Placement (Dormant)#
14.1The Platform includes functionality for featured placement of Listings and for display advertising. As of the effective date, no advertising is served in production. If Sanawell activates advertising or paid placement, sponsored or featured content will be identifiable as such, and this Section will govern together with any additional advertising terms presented at the time.
15.Paid Services (Dormant)#
15.1The Platform is currently free to use for Members, Teachers, and Businesses. Sanawell may in the future offer paid features, subscription tiers, featured placement, or other paid services. Any paid service will be introduced with at least thirty (30) days' notice, with pricing, billing frequency, renewal, and cancellation terms disclosed before you are charged. No fees apply, and no payment method is collected, unless and until you expressly subscribe to a paid service.
16.Suspension; Removal; Appeals#
16.1Sanawell may unpublish or remove any Listing or User Content, reject or reverse a claim, revoke Editor or moderation privileges, or suspend or terminate any account, where it has a good-faith belief of a violation of this Agreement, legal risk, or risk of harm. Where practicable, Sanawell will give notice and a reason.
16.2Sanawell may also change, disable, or discontinue any Platform feature at any time, including features that are enabled in some environments or regions and not others.
16.3Appeals. If your review, claim, Listing, or account is rejected, removed, or suspended and you believe the decision is wrong, you may appeal by writing to hello@sanawell.co with the relevant details. Sanawell will review appeals in good faith and respond within a reasonable period.
17.Activity, Health, and Certification Disclaimers#
17.1Physical activity risk. Wellness Services — including yoga, pilates, breathwork, movement, retreats, and teacher trainings — involve physical exertion and carry inherent risks, including risk of bodily injury, illness, or death. You represent that you are physically able to participate in any Wellness Service you attend, and you agree to consult a physician before participating if you have any medical condition, injury, or are pregnant. You are responsible for disclosing relevant health information to the Host and following the Host's safety instructions. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU VOLUNTARILY ASSUME ALL RISKS ARISING FROM YOUR PARTICIPATION IN ANY WELLNESS SERVICE, AND SANAWELL SHALL HAVE NO LIABILITY FOR ANY INJURY, ILLNESS, DEATH, OR PROPERTY DAMAGE ARISING FROM OR RELATING TO ANY WELLNESS SERVICE.
17.2Health claims. Listings and articles may describe wellness practices and their claimed benefits. Sanawell does not verify such claims, and nothing on the Platform is medical advice or a substitute for professional medical care.
17.3Trainings and certification. Listings may advertise teacher trainings, certification bodies, designations, and contact hours. Sanawell does not accredit, verify, or endorse any training, certification body, or credential, and displayed certifications are the statements of the Host or Teacher concerned.
17.4Accuracy. Schedules, prices, availability, and location data — including imported data (Section 12) — are the responsibility of the applicable Host and may change without notice.
18.Warranty Disclaimer#
18.1THE PLATFORM AND ALL LISTINGS ARE PROVIDED "AS IS" AND "AS AVAILABLE." SANAWELL DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT LISTINGS, SCHEDULES, PRICING, OR BOOKING LINKS ARE ACCURATE OR CURRENT; THAT ANY HOST WILL RESPOND TO A BOOKING REQUEST; OR THAT ANY WELLNESS SERVICE WILL OCCUR AS SCHEDULED OR MEET YOUR EXPECTATIONS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SANAWELL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
19.Limitation of Liability; Indemnification#
19.1NOTWITHSTANDING ANYTHING TO THE CONTRARY, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER SANAWELL NOR ITS OFFICERS, MEMBERS, AFFILIATES, REPRESENTATIVES, CONTRACTORS, OR EMPLOYEES SHALL BE LIABLE UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHER THEORY: (A) FOR ANY INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; (B) FOR THE ACTS OR OMISSIONS OF ANY HOST, MEMBER, OR EDITOR, FOR ANY BOOKING, TRANSACTION, PAYMENT, CANCELLATION, OR REFUND CONDUCTED THROUGH A HOST'S OWN CHANNELS, OR FOR ANY WELLNESS SERVICE, INCLUDING ANY INJURY, ILLNESS, DEATH, OR PROPERTY DAMAGE ARISING THEREFROM; (C) FOR ANY MATTER BEYOND SANAWELL'S REASONABLE CONTROL; OR (D) FOR ANY AMOUNTS THAT, IN THE AGGREGATE WITH ALL OTHER CLAIMS, EXCEED THE GREATER OF (i) THE FEES (IF ANY) PAID TO SANAWELL BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE ACT GIVING RISE TO LIABILITY, OR (ii) ONE HUNDRED U.S. DOLLARS (USD $100), IN EACH CASE WHETHER OR NOT SANAWELL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THIS AGREEMENT LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
19.2You will indemnify, defend, and hold harmless Sanawell and its officers, members, employees, and agents from and against all claims, damages, settlements, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your breach of this Agreement, including the warranties in Sections 6.1, 8.1, and 9.3; (b) your User Content; (c) if you are a Host, the Wellness Services you provide, your booking and payment channels, your transactions with users, your tax obligations, your treatment of user data received from the Platform, or your violation of applicable law; or (d) your misuse of the Platform.
20.Term; Account Closure and Deletion; Termination#
20.1This Agreement applies for so long as you use the Platform (the "Term").
20.2Account closure. You may request deletion of your account at any time; your account settings explain how. Requests are actioned by Sanawell rather than automatically, and deletion is not performed sooner than ninety (90) days after the request, so that an accidental or unauthorized request can be withdrawn. Your account remains available to you until deletion is performed, and you may withdraw the request at any time before then by contacting Sanawell. Deletion is permanent once performed. The Privacy Policy describes exactly what is deleted and what is retained (including limited records retained for fraud and abuse prevention), and how content connected to other parties — such as reviews and Booking Requests already transmitted to Hosts — is handled.
20.3Sanawell may suspend or terminate access as described in Sections 4.4 and 16. Upon termination, your right to use the Platform immediately ceases, and Sections 3, 9, 10.2, 11.2–11.4, 12, 13.5–13.6, 17–19, this Section 20, and Sections 21–22 survive.
21.Governing Law; Disputes; Miscellaneous#
21.1Governing Law; Venue. This Agreement shall be governed by the laws of the State of Wyoming without regard to its conflict of laws provisions. Any claim, action, or proceeding arising from or relating to this Agreement may only be brought in the state or federal courts located in the State of Wyoming, and each party consents to the exclusive jurisdiction thereof.
21.2Severability. If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement otherwise remains in full force and effect.
21.3Assignment. You may not assign or transfer this Agreement without Sanawell's prior written consent. Sanawell may assign this Agreement without consent to a successor to all or substantially all of its assets or business.
21.4Entire Agreement. This Agreement, together with the Privacy Policy and any additional terms expressly agreed between you and Sanawell, constitutes the complete and exclusive statement of the parties' mutual understanding and supersedes all prior agreements and communications relating to its subject matter, including any earlier terms published on the Platform.
21.5No Agency. No agency, partnership, joint venture, or employment relationship is created by this Agreement between Sanawell and any Member, Teacher, Business, or Editor.
